Terms of Service

Beta notice: InvoiceOnline is currently in beta. Features may change, and the Service may experience interruptions. By using the Service during the beta period you acknowledge this.
1. Acceptance
These Terms of Service ("Terms") govern your use of InvoiceOnline (the "Service"), operated by 9451-0468 Quebec Inc. ("we", "us"), a corporation registered in Quebec, Canada. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
2. What the Service is
InvoiceOnline is a tool to help you generate, store and download invoice documents. It is not:
- a payment processor — we do not collect or transfer money;
- an accounting, bookkeeping, or tax service;
- a substitute for legal, financial, or tax advice.
You are responsible for using the invoices we help you generate in a way that complies with the tax, accounting, and commercial laws of your jurisdiction.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into this agreement. By using the Service you confirm that you meet these requirements.
4. Your account
You are responsible for the security of your sign-in email and your Google account, and for everything done under your account. Notify us immediately if you believe your account has been accessed by someone else.
Information you enter (business profile, customers, line items) must be accurate and lawful.
5. Acceptable use
You agree not to use the Service to:
- create fraudulent, misleading, or fake invoices;
- impersonate any person or business;
- harass, defraud, or harm any third party;
- violate any applicable law (including tax, anti-spam, or sanctions law);
- attempt to gain unauthorized access to the Service, its underlying systems, or other users' accounts;
- introduce malware, scrape, or reverse engineer the Service except where the law expressly allows it.
We may suspend or terminate accounts that we reasonably believe are violating this section.
6. Your content
You own the data you put into the Service — your business information, your customers' information, and the invoices you generate. You grant us only the limited rights needed to store, process, and display that content so that we can provide the Service to you (for example, rendering an invoice PDF or showing your dashboard).
You are responsible for ensuring you have the right to share your customers' information with us for this purpose.
Permanent deletion. The Service allows you to permanently delete individual invoices and customers. Deletion is immediate and irreversible — we do not keep backups of deleted records and cannot restore them. You are solely responsible for downloading or archiving any invoice before deleting it.
7. Our intellectual property
The Service itself — the software, design, logos, and documentation — belongs to us. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, resell, sublicense, or reverse engineer the Service.
8. Service availability
We work to keep the Service available and reliable, but we do not guarantee uninterrupted access. We may perform maintenance, change features, or stop offering parts of the Service. We will make reasonable efforts to give notice of significant changes.
The Service is currently in beta. During this period, features are still being developed and refined, data structures may change, and service interruptions may occur more frequently than in a stable release. We are not liable for any loss or inconvenience resulting from beta-period limitations.
9. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that invoices generated by the Service will comply with the tax laws of your jurisdiction. You are responsible for verifying this.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of your use of the Service.
Our total aggregate liability to you for any claim arising out of or relating to the Service is limited to the greater of (a) the total fees you have paid us in the 12 months preceding the claim, or (b) CAD $100.
11. Indemnification
You agree to defend and indemnify us against any third-party claim arising from (a) your misuse of the Service, (b) content you submit, or (c) your breach of these Terms.
12. Termination
You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (ownership, disclaimers, liability, indemnification, and governing law) will survive.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in the application. Your continued use of the Service after the changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of laws rules. The courts of the district of Montreal, Quebec, have exclusive jurisdiction over any dispute arising out of these Terms, except where the law of your place of residence grants you the right to bring proceedings in your local courts.
